This Agreement is effective October 30th, 2009
SERVICE: SinglesAroundMe.
By using the Service after the Effective Date (where shown on the Service), you agree to be bound by this Agreement, including all amendments made to date.
This Agreement constitutes your agreement with SinglesAroundMe ("SinglesAroundMe") with respect to your use of the Service. You must agree to all terms and conditions in this Agreement in order to become or remain an authorized user of the Service. As used in this Agreement, "we" and "us" means SinglesAroundMe or any successor or assign of SinglesAroundMe.
Your right to use the Service is subject to any limitations, conditions and restrictions established by us from time to time, in our sole discretion. We may alter, suspend or discontinue any aspect of the Service at any time, including availability of any feature, database or content. We may also impose limits on certain features and restrict your access to parts or all of the Service without notice or liability.
You represent, warrant and covenant that you are at least 18 years old.
You agree to use the Service in accordance with the following Code of Conduct:
Unless you indicate on your Preferences page that you do not want to participate, you agree to grant SinglesAroundMe a license to use your images, text or recordings on our partners' sites or in marketing of the Service. This excludes your personal information such as your email address or full name. Read our privacy policy for more details.
Subscriptions may be cancelled by clicking the Settings button on your
profile page.
By using the Service you also agree to our privacy policy. You acknowledge and accept the following:
From time to time we may provide or email publicly available information about other users who may meet your pre-selected search criteria. We cannot guarantee the accuracy of information posted by other users or provided to us by them.
You may not use the Service for unlawful purposes. We may refuse IDs or nicknames that impersonate others, infringe trademarks, or are vulgar or offensive, at our sole discretion. You confirm you have obtained all necessary rights and permissions in any messages, pictures or recordings prior to posting or distributing them through the Service.
Your location information is shared with other users. Users have complete control over their location and can choose to show, hide or shift their precise location when shown on maps.
We reserve the right to monitor advertisements, public postings, messages, video and audio recordings to ensure conformity with content guidelines. Although we do not review every message or material posted or sent by users, we may (but are not obligated to) delete, move, or edit profiles, postings, messages, video and audio recordings that we deem to violate the Code of Conduct or are otherwise unacceptable.
You remain solely responsible for content you upload to the Service.
We may, in our sole discretion, terminate or suspend your access to all or part of the Service at any time, with or without notice, for any reason, including breach of this Agreement. Fraudulent, abusive, or illegal activity — or activity that affects others' enjoyment of the Service — may be grounds for termination and referral to law enforcement.
The Service contains information proprietary to us, our partners, and our users. We assert copyright protection in the Service. Information posted by us, our partners, or users may be protected whether or not it is identified as proprietary. You agree not to modify, copy or distribute such information without the owner's express permission.
You acknowledge we are not responsible for suspension of the Service regardless of cause.
Your account is private and should not be used by anyone else. You are responsible for all activity on the Service by users using your password, including any third-party use of your password.
The Service may contain links to other Internet sites ("External Links"). We are not responsible for the availability or content of External Links. We suggest reviewing the terms and privacy statements of such External Links prior to use.
You agree to indemnify SinglesAroundMe, its officers, directors, employees and agents from any loss or damages (including reasonable legal fees) arising from your activities on or use of the Service, including breaches of this Agreement. You shall cooperate in the defense of any claim. We may assume exclusive defence and control of any matter otherwise subject to your indemnification obligation; you remain liable for such claim.
The Service is provided on an "as is" basis. We do not warrant uninterrupted or error-free operation. Where permitted by law, the Service is provided without any warranties (express or implied), including implied warranties of merchantability or fitness for a particular purpose. Use of the Service is at your own risk.
We do not represent or endorse the accuracy or reliability of member profiles, advice, opinions, statements, or other information displayed, uploaded or distributed through the Service by SinglesAroundMe, our partners, or any user. Any reliance on such content is at your sole risk.
We may modify this Agreement from time to time. Notification of changes will be posted on the Service or sent via email as determined in our sole discretion. If you do not agree to modifications, you should terminate use of the Service. Continued use after notice constitutes binding acceptance of the modified Agreement.
We reserve the right to send electronic mail to inform you of changes or additions to the Service or SinglesAroundMe-related products and services. We also reserve the right to disclose information about your usage and demographics in forms that do not reveal your personal identity. By using the Service you consent to such disclosures and communications, subject to our Privacy Statement.
This Agreement is entered into in Ontario, Canada and governed by the laws of the Province of Ontario. Any disputes arising out of this Agreement are subject to the courts of the Province of Ontario and the applicable federal courts. If any provision is invalid or unenforceable under applicable law, remaining provisions continue in full force and effect. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

You may not assign this Agreement or any of your rights to the Service. SinglesAroundMe may assign any or all of its rights and duties under this Agreement or the Service to any third party. If SinglesAroundMe's obligations are assumed by a third party, SinglesAroundMe shall be relieved of any and all liability under this Agreement.
